These Terms and Conditions ("Terms") govern your access to and use of the website gpt-token.app and the application at buy.gpt-token.app (together, the "Platform"), operated by GPT Token ("we", "us", "our"). By creating an account, submitting identity verification, or purchasing GPT tokens, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms to use the Platform. You may not use the Platform if you are a resident of, or located in, a jurisdiction where participation in a token sale of this kind is prohibited or restricted by law, or if you are subject to economic sanctions. It is your responsibility to determine whether your participation is lawful in your jurisdiction.

2. Nature of GPT Token

GPT Token ("GPT") is an experimental utility token intended to provide access to features within the GPT Token ecosystem described on this Platform. GPT Token:

• is not a security, share, equity, or investment contract;
• does not represent ownership, equity, or a right to profits, dividends, or revenue from any entity;
• is not insured, guaranteed, or backed by any government or financial institution; and
• is not affiliated with, endorsed by, or connected to OpenAI or any other third-party AI company, despite similarity in naming.

Nothing on this Platform constitutes financial, investment, legal, or tax advice. You should consult your own professional advisors before participating.

3. Identity Verification (KYC/AML)

To comply with applicable anti-money-laundering and know-your-customer regulations, you must complete identity verification before your contribution is approved. We reserve the right to refuse, delay, or reverse any transaction where verification cannot be completed or where we suspect fraud, money laundering, or other illegal activity.

4. Purchases and Pricing

Token prices, bonus percentages, minimum and maximum contribution amounts, and available sale stages are set at our discretion and may change without prior notice. Cryptocurrency-denominated prices are calculated using exchange rates at the time your transaction is confirmed and may differ from the rate shown at the time you initiated the transaction, due to normal market fluctuation.

All contributions are manually reviewed. Tokens are credited to your account only after your payment has received the required network confirmations and has been approved by our team. Token balances will be distributed after the applicable token sale end date, as described on the Platform.

5. No Refunds

Due to the nature of cryptocurrency transactions, all contributions are final and non-refundable once payment has been sent, except where required by applicable law or at our sole discretion in cases of demonstrable error on our part.

6. Risks

Participating in the GPT Token sale involves significant risk, including but not limited to:

• Price volatility — the value of cryptocurrencies used for payment, and of GPT Token itself, can fluctuate significantly and may result in partial or total loss.
• Regulatory risk — the legal treatment of tokens and token sales varies by jurisdiction and may change.
• Technology risk — blockchain networks, wallets, and smart contracts may contain vulnerabilities or experience outages.
• No guarantee of value or liquidity — there is no guarantee that a market for GPT Token will develop or that GPT Token will retain or increase in value.

You acknowledge that you understand these risks and that you are participating at your own discretion and risk.

7. Wallets and Irreversibility of Blockchain Transactions

You are solely responsible for the accuracy of any wallet address you provide and for the security of your own wallet and private keys. Cryptocurrency transactions are irreversible. We are not responsible for funds lost due to an incorrect address, use of an unsupported network, or compromise of your own wallet.

8. Prohibited Conduct

You agree not to: provide false or misleading information during registration or KYC; use the Platform for money laundering, terrorist financing, or any other illegal activity; attempt to gain unauthorized access to the Platform or interfere with its operation; or use the Platform if you are located in a restricted jurisdiction or are a sanctioned individual or entity.

9. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is owned by or licensed to GPT Token and is protected by applicable intellectual property laws. You may not copy, reproduce, or distribute Platform content without our prior written consent.

10. Limitation of Liability

To the fullest extent permitted by law, GPT Token and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Platform or participation in the token sale. Our total liability for any claim arising from these Terms shall not exceed the amount you contributed through the Platform.

11. Indemnification

You agree to indemnify and hold GPT Token, its team, and affiliates harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms or applicable law.

12. Changes to the Platform and These Terms

We may modify, suspend, or discontinue any part of the Platform, and may update these Terms, at any time. Material changes will be posted on this page with a revised "Last updated" date. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

13. Termination

We may suspend or terminate your account at our discretion, including where we suspect a violation of these Terms, fraud, or applicable law, without prior notice.

14. Governing Law

These Terms are governed by applicable law without regard to conflict-of-law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved through good-faith negotiation in the first instance.
